He joined MA Abogados in October 2015, in the Mercantile Law department, practising in the mergers and acquisitions, the securities market, financial regulation (banking, risk capital, investment services companies (ESIs), collective investment institutions (IICs)) and sectoral (energy, pharmaceuticals, telecommunications and digital economy). Before then, he practised as a lawyer in a British practice and two practices in Spain, as well as at a pharmaceutical multinational (secondment).
Manuel is specialised in public M&A, private M&A, private equity, venture capital -including issues (above all, equity capital markets)- and restructuring. He has regularly advised on corporate governance and regulatory compliance for listed companies and other regulated Spanish and international entities (banking, risk capital, investment investments, collective financial and property investment, insurance) vis-à-vis Spanish and international supervisors.
In the contracts area, he has negotiated both joint ventures. investment contracts, shareholder agreements and associated contracts (LoI/MoU, NDA/CDA, contracts for management, services, consultancy, incentive plans, temporary services) and mercantile contracts in general (agency, distribution, collaboration, time limitation, logistics operator), relative to industrial and intellectual property (transfer and license for patents, brands, software, licence and distribution, manufacture and supply).
In regard to competition Law, he has advised in procedures (authorisation, inspection and sanction) involving the Spanish Markets and Competition Commission (CNMC) and the European Commission and in relation with trade associations and sectoral self-regulation.
